Terms of Service
Last updated: [DATE]
1. Agreement to terms
These Terms of Service ("Terms") govern the bookkeeping services ("Services") provided by Verdant ("Verdant," "we," "us") to the client engaging those services ("Client," "you"). By engaging Verdant's Services, you agree to these Terms.
2. Description of services
Verdant provides remote bookkeeping services, including transaction categorization, account reconciliation, and monthly financial reporting, using QuickBooks Online or Xero. The specific scope of services is set out in the plan or proposal you agree to at engagement.
3. Not tax, audit, or legal services
Verdant provides bookkeeping services only. We do not prepare or file tax returns, provide tax advice, perform audits, or provide legal advice. Clean, accurate books are intended to make your CPA's, tax preparer's, or attorney's work easier — but you remain responsible for engaging those professionals separately for filings, audits, and legal or tax advice specific to your situation.
4. Engagement term and payment
Services are billed on a fixed monthly fee, based on the plan selected at engagement, and are provided on a month-to-month basis with no long-term contract. Invoices are due at the start of each billing period. Late payment may result in a pause of services until the account is brought current.
5. Client responsibilities
You agree to provide timely, accurate access to the financial accounts, statements, and records necessary for Verdant to perform the Services, and to respond to reasonable requests for clarification. Verdant's accuracy depends on the completeness and accuracy of the information and access you provide.
6. Account access
Access to your QuickBooks Online or Xero account is granted by you, through your own account, and may be revoked by you at any time. Verdant does not require ownership or administrative control of your accounting software account beyond what is needed to perform the Services.
7. Confidentiality
Verdant will treat your financial records and business information as confidential, and will not disclose them to third parties except as required to perform the Services, comply with the law, or as described in our Privacy Policy.
8. Limitation of liability
To the maximum extent permitted by law, Verdant's total liability for any claim arising from the Services is limited to the fees paid by you for the Services in the three (3) months preceding the claim. Verdant is not liable for indirect, incidental, or consequential damages, including but not limited to penalties or interest arising from tax filings made by you or your tax preparer.
9. Termination
Either party may terminate the engagement with thirty (30) days' written notice. Upon termination, you retain full access to your own accounting software account and financial data. Verdant will provide reasonable assistance in transitioning the books to a new provider.
10. Changes to these terms
Verdant may update these Terms from time to time. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
11. Governing law
[To be specified — consult a lawyer to determine the appropriate governing law and jurisdiction for an international service engagement.]
